Independent Appraisal, LLC, has been providing valuations since 1989. While there have been many changes in the valuation industry since our inception, the firm continues to provide quality service while keeping abreast of the latest changes in government regulations and industry trends. A rigorous research and analysis process is undertaken in completing a valuation assignment. This process satisfies the standards required by the Internal Revenue Service in Revenue Ruling 59-60 and also by the Department of Labor in the Employee Retirement Income Security Act (ERISA). More importantly, it satisfies the fiduciary needs of the ESOP Trustee(s).
Reaching a final opinion of value generally involves the following:

– Information provided by the client including historical financial data and other information;
– Relevant industry data and national, regional, and local economic information;
– Information on public companies in the same or a similar industry;
– Market information regarding the amount at which similar business interests have
sold; and
– Rates of return available on investments of similar risk and investment characteristics.
The valuation report is prepared and designed to explain our valuation process. The valuation report includes:
A discussion of the research performed;
An analysis of company, economic, and industry data;
An overview of valuation theory including a discussion of the valuation approaches and methods used in the valuation and the reasons why they were selected;
The application of the selected valuation approaches and methods including the development of the economic earnings and rates of returns used in the valuation;
An explanation of any valuation discounts or premiums; and
The reconciliation of values indicated by the various methods utilized.
We work closely with our clients to ensure our valuation reports are fully understood. What is important to the Trustee(s), and to us as an advisor, is that the prudent man’s standard of care required of the Trustee under ERISA is met in fulfilling his/her responsibilities. Our valuation and reports are completed with this objective in mind.
